Service Agreement
1. Introduction
This Service Agreement outlines the terms of collaboration between 2Deluxe ("we," "us") and the Client ("you"), governing the provision of web design, development, and related services. By engaging our services, you agree to the terms set forth below.
2. Services & Deliverables
2Deluxe will provide the services as detailed in the selected package (e.g., SPA Core, SPA Deluxe) or custom project proposal. This includes website design, development, and implementation, adhering to our core principles of creating Sustainable, Pragmatic, and Accessible (SPA) digital products. All deliverables will be designed to meet WCAG accessibility standards and Web Sustainability Guidelines (WSG) unless otherwise specified.
3. Client Responsibilities
To ensure project success, the Client agrees to:
- Provide all required content (text, images, logos) in a timely manner and in the agreed format.
- Provide consolidated feedback within the agreed-upon review periods.
- Secure any necessary licenses for third-party assets provided.
4. Timeline & Project Management
We commit to delivering projects within the timelines established in the project proposal. Any delays caused by the Client's late provision of content or feedback may result in a corresponding adjustment to the final delivery date. Additional requests that fall outside the initial project scope will be documented and may incur additional fees.
5. Payment Terms
A 50% deposit is required to commence work, with the remaining balance due upon project completion and before final delivery/handoff. For ongoing maintenance or retainers, fees will be billed monthly or annually as agreed.
6. Outages & Maintenance
2Deluxe will respond promptly to address website outages related to our development work. However, we are not liable for outages caused by third-party hosting providers, domain registrars, or other external services. We recommend and can assist in setting up hosting with green energy providers, but ultimate responsibility for hosting uptime lies with the Client.
7. Communication
All official project communication, feedback, and change requests must be made via email to ensure a clear and documented record. The Client is responsible for maintaining valid and current contact information with 2Deluxe.
8. Intellectual Property
Upon final payment, the Client receives full ownership of the custom-designed visual elements and developed code for the project. 2Deluxe retains the right to display the work in our portfolio and marketing materials.
9. Termination
Either party may terminate this agreement by providing written notice via email. If termination occurs mid-project, the Client is responsible for payment for all work completed up to the termination date.
10. Limitation of Liability
Our total liability under this agreement is limited to the total value of the fees paid by the Client for the services rendered.
By engaging 2Deluxe, you acknowledge that you have read, understood, and agree to be bound by the terms of this Service Agreement.
